These Terms & Conditions (“Terms”) govern your access to and use of the EntryPoint AI website (the “Site”) and any products or services provided by EntryPoint AI, including our AI consulting and implementation services, done-for-you setup and ongoing support, and related features (collectively, the “Services”).

 

EntryPoint AI serves customs brokers, freight forwarders, bonded warehouse operators, non-vessel operating common carriers (NVOCCs), and transport companies across Canada and the United States. These Terms apply to all clients and users of the EntryPoint AI platform and services.

 

By accessing the Site or using the Services, you agree to be bound by these Terms. If you do not agree, do not use the Site or Services.

 

 

 

1. Who We Are

“EntryPoint AI,” “we,” “us,” and “our” refer to:

2. Eligibility

You must be at least the age of majority in your province/territory or jurisdiction (or have authority to bind a business entity) to use the Services. If you use the Services on behalf of a customs brokerage, freight forwarding company, bonded warehouse, or other trade compliance business, you represent that you have authority to bind that business to these Terms.

 

3. Services Overview

EntryPoint AI provides done-for-you AI consulting and implementation services specifically for the trade compliance industry. Depending on your engagement and configuration, Services may include:

       AI Receptionist: AI-powered inbound call handling, lead capture, FAQ response, and call routing configured for customs brokers and freight forwarders

       AI Inquiry Handler: qualification and automated follow-up for new business inquiries from shippers and importers

       AI Chatbot: website-based conversational AI trained on your specific services, ports of entry, commodity expertise, and document requirements

       AI Social Media Assistant: monitoring and response across Google Business Profile, LinkedIn, Facebook, Instagram, and other connected platforms

       Client Communication Automation: automated status updates, exam notifications, document follow-up sequences, dormant account reactivation, review requests, and invoice reminders

       CRM Setup and Configuration: client and prospect relationship management configured for trade compliance workflows

       AI-Managed SOP Documentation: standard operating procedure development and maintenance for customs brokerage and freight forwarding workflows

       Employee Training and Onboarding Systems: structured onboarding and knowledge base tools for entry writers, freight coordinators, and warehouse staff

       AI Productivity Tools: workflow automation that reduces repetitive administrative tasks for trade compliance teams

       Integrations with third-party platforms (Google Business Profile, Meta/Facebook/Instagram, LinkedIn, scheduling tools, CRMs, telephony/SMS/email providers)

 

Important: EntryPoint AI’s AI systems are designed to support — not replace — the professional judgment of licensed customs brokers and freight forwarders. Results vary by operation, configuration, lead volume, and client behaviour. We do not guarantee specific business outcomes (e.g., revenue, lead volume, or client acquisition). You remain responsible for all compliance decisions, tariff classifications, and regulatory filings that require the judgment of a licensed professional.

 

4. Accounts, Access & Security

If we provision access for you:

       You are responsible for maintaining the confidentiality of your login credentials

       You agree to provide accurate information and keep it updated

       You are responsible for all activity under your account, including actions taken by your staff or contractors

       If you suspect unauthorized access, notify us immediately at [email protected]

 

5. Acceptable Use

You agree not to use the Site or Services to:

       Violate any law or regulation (including privacy, marketing, and anti-spam laws such as CASL where applicable)

       Infringe intellectual property rights

       Send spam, deceptive messages, or unlawful marketing content

       Harass, threaten, or defame others

       Transmit malware or attempt to compromise the security of our systems or third parties

       Collect personal data without lawful basis or required consent

       Represent AI-generated communications as being from a licensed customs broker or freight forwarder when professional licensing is required by applicable law

       Use the Services for high-risk use cases where failure could cause harm, unless explicitly agreed in writing with appropriate safeguards

 

We may suspend or terminate access for suspected or actual violations.

 

6. Your Responsibilities (Client Obligations)

To ensure the Services function properly and lawfully, you agree that:

       You are responsible for the accuracy of business information you provide, including your services list, ports of entry, commodity specializations, document requirements, communication preferences, and routing rules

       You are responsible for obtaining any required consents for calls, texts, emails, and marketing communications to shippers, importers, and other trade contacts

       You are responsible for your client communications content, including compliance with CASL, privacy laws, and platform rules

       You will promptly notify us if you discover inaccurate AI responses, workflow issues, or any security concerns

       You are responsible for all compliance decisions, tariff classifications, and regulatory filings made by your licensed customs brokers and freight forwarding professionals in connection with the Services

 

7. AI Outputs, Limitations & Professional Judgment

EntryPoint AI’s Services use AI to generate responses, status updates, follow-up sequences, training documentation, and SOP content. You understand that:

       AI may produce incorrect, incomplete, or inappropriate outputs

       AI should not be relied on as the sole source of truth for compliance decisions, tariff classifications, or regulatory requirements

       You are responsible for reviewing and approving key content, compliance guidance, and any regulated communications

       You should ensure an escalation path exists for complex, sensitive, or urgent trade compliance inquiries

       Licensed customs brokers and freight forwarding professionals on your team retain professional responsibility for all compliance decisions

       EntryPoint AI is not responsible for decisions made based on AI-generated outputs

 

8. Done-For-You Setup & Ongoing Consulting

EntryPoint AI’s all-inclusive engagement includes done-for-you setup, ongoing consulting, and maintenance. In connection with these services:

       We will configure workflows and systems based on information you provide and the agreed scope of engagement

       Timelines may vary depending on client responsiveness, access to third-party accounts, and operational complexity

       Any additional work outside the agreed scope may require a separate fee or written approval

       You are responsible for providing accurate, complete information about your trade operation including services, commodity specializations, ports of entry, and team structure

 

9. Third-Party Platforms, Integrations & Accounts

The Services may integrate with third-party platforms (e.g., Google Business Profile, Meta/Facebook/Instagram, LinkedIn, scheduling tools, CRMs, telephony/SMS/email providers). You acknowledge that:

       Third-party services are governed by their own terms and privacy policies

       We do not control, endorse, or guarantee third-party services

       Third parties may change features, pricing, APIs, or policies, which can impact functionality

       You are responsible for maintaining required third-party accounts and paying third-party fees where applicable

 

10. Fees, Billing & Monthly Subscriptions

10.1 Pricing and Fees

EntryPoint AI’s all-inclusive engagement is $2,997 CAD per month per location unless otherwise stated in your Order, proposal, or subscription agreement. Additional fees for multi-location engagements are available on request. Applicable taxes including Canadian GST/HST will be added where required.

 

10.2 Subscription Billing

Unless otherwise stated:

       Subscriptions are billed in advance on a recurring monthly basis

       You authorize EntryPoint AI (and/or our payment processor) to charge your payment method automatically

 

10.3 Late Payments

If payment is late or fails:

       We may suspend access to Services until payment is received

       You remain responsible for any outstanding amounts

 

10.4 Fee Changes

We may change pricing with advance notice. Changes will apply at the next billing cycle after notice, unless otherwise stated in a written agreement.

 

11. Cancellations & Termination

11.1 Cancellation by You

You may cancel your subscription by contacting us at [email protected] with 30 days written notice, or as otherwise described in your Order. Unless otherwise stated:

       Cancellation stops future renewals

       Access continues until the end of the current paid billing period

       Fees already paid are non-refundable, except where required by law or explicitly stated in writing

 

11.2 Termination by Us

We may suspend or terminate Services if:

       you breach these Terms

       you use the Services unlawfully or in a prohibited manner

       payment is not received

       continued provision creates security, legal, or operational risk

 

12. Refund Policy

Unless otherwise stated in a written agreement or required by law:

       Setup fees are non-refundable once work begins

       Subscription fees are non-refundable for the current billing period

       If a refund exception is granted, it is at our discretion and may require removal or deactivation of delivered work

 

13. Intellectual Property

13.1 Our IP

We own the Site, Services, and all related intellectual property, including software, workflows, templates, designs, branding, and documentation, except for third-party materials licensed to us.

 

13.2 Your Content

You retain ownership of your business content (logos, business details, commodity information, FAQs, brand copy, SOP content) you provide (“Client Content”). You grant EntryPoint AI a limited license to use Client Content solely to provide and improve the Services for you.

 

13.3 Feedback

If you provide suggestions or feedback, you grant EntryPoint AI the right to use it without restriction or compensation.

 

14. Confidentiality

We will treat non-public information you share — including information about your trade operation, clients, shippers, importers, commodity expertise, and business processes — as confidential and use it only to deliver Services, except where disclosure is required by law or necessary to enforce these Terms.

 

15. Privacy

Our collection and use of personal information is governed by our Privacy Policy (available at entrypointai.ca). You agree that you will comply with applicable privacy laws, including PIPEDA and CASL, for any personal data you collect, upload, or process using the Services.

 

16. Disclaimers (No Warranties)

The Site and Services are provided “as is” and “as available.” To the fullest extent permitted by law, we disclaim all warranties, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

 

We do not warrant that:

       the Services will be uninterrupted or error-free

       AI outputs will be accurate, complete, or appropriate for compliance decisions

       integrations will always function as expected

       use of the Services will guarantee specific business results

 

17. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW:

       EntryPoint AI will not be liable for indirect, incidental, special, consequential, or punitive damages (including lost profits, lost revenue, loss of data, business interruption, or compliance penalties)

       Our total liability for any claim relating to the Services will not exceed the amount you paid to EntryPoint AI in the three (3) months preceding the event giving rise to the claim (or a different cap if required by law or stated in a written agreement)

 

18. Indemnification

You agree to indemnify and hold EntryPoint AI harmless from claims, damages, liabilities, and expenses (including reasonable legal fees) arising from:

       your use of the Services

       your violation of these Terms

       your Client Content

       your failure to obtain required consents or comply with marketing, privacy, or anti-spam laws

       your communications with clients, shippers, importers, or other trade contacts

       any compliance decisions, regulatory filings, or professional determinations made by your licensed customs brokers or freight forwarders in connection with the Services

 

19. Service Availability, Changes & Updates

We may update, modify, or discontinue parts of the Services to improve performance or comply with legal or third-party requirements. We will try to provide notice for material changes, but some changes may be immediate. Ongoing maintenance and optimization are included in your monthly engagement.

 

20. Communications

By using the Services, you agree we may contact you about:

       account administration and billing

       service updates and security notices

       onboarding and support communications

 

Marketing communications (if any) will follow applicable law including CASL and provide opt-out methods.

 

21. SMS Messaging Terms

If your engagement includes SMS communications to your clients, shippers, or importers through the EntryPoint AI platform:

       Reply STOP to opt out of SMS messages. Reply HELP for help.

       Message and data rates may apply

       Carriers are not responsible for undelivered messages

       You are responsible for obtaining all required CASL and applicable consents before sending SMS messages to any contact

       You are responsible for maintaining opt-out records and honouring opt-out requests promptly

       Users of the Service and recipients of SMS messages must be 18 or older

 

Message use cases may include (but are not limited to):

       Shipment status updates and clearance notifications

       Exam and hold notifications

       Missing document reminders

       Discovery meeting reminders and confirmations

       Invoice delivery and payment reminders

       Dormant account reactivation outreach

       Post-clearance check-ins and review requests

 

Your phone number and contact information will not be sold or shared with third parties outside of what is necessary to provide the Services.

 

22. Governing Law

These Terms are governed by the laws of Ontario, Canada, without regard to conflict of laws rules. You agree to submit to the exclusive jurisdiction of courts located in Ontario, Canada, unless otherwise required by law.

 

23. Dispute Resolution

In the event of a dispute, the parties agree to:

       attempt good-faith negotiation first

       proceed to mediation if negotiation does not resolve the dispute

       binding arbitration in Ontario, Canada, if mediation is unsuccessful (subject to applicable law)

 

24. Changes to These Terms

We may update these Terms from time to time. The “Last Updated” date will reflect changes. Your continued use of the Site or Services after changes means you accept the updated Terms.

Opt-Out & Support Mechanisms

“You can cancel the SMS service at any time. Just text "STOP" to the (888) 408-8704. After you send the SMS message "STOP" to us, we will send you an SMS message to confirm that you have been unsubscribed. After this, you will no longer receive SMS messages from us. If you want to join again, just sign up as you did the first time and we will start sending SMS messages to you again. If you are experiencing issues with the messaging program you can reply with the keyword HELP for more assistance, or you can get help directly at [email protected] or (888) 408-8704.”
